Laurent Segal, partner, and Anne Souchet, associate, have published an article in Option Finance on the reform of intra-European cross-border restructuring operations.
They review the new regime resulting from the transposition by the Ordinance of May 24, 2023 into French law of EU Directive 2017/1123 as amended by EU Directive 2019/2121 on cross-border transactions. This regime applies to mergers, spin-offs and partial contributions of assets carried out on or after July 1, 2023.
