General Terms of Use

  1. Preamble

The website accessible at www.lerins.com (the “Website”) is published by the law firm LERINS, an Association of Lawyers with Individual Professional Liability, registered under number 835 044 777, with its registered office located at 75 avenue des Champs Elysées, 75008 Paris (“LERINS”). These general terms of use (the “GTU”) aim to define the conditions of use of the Website by any visitor (the “User”).

  1. Entry into force and enforceability of the GTU

These GTU enter into force on the date of their online publication. Consultation of the Website implies that the User has read these GTU, accepts them and undertakes to comply with them. They are enforceable against the User from their first visit to the Website, throughout the duration of use of the Website and until new GTU are published, if applicable. The User may at any time discontinue use of the Website but remains responsible for any prior use.

  1. Technical prerequisites

The use of the Website and/or consultation of its content requires using a high-speed internet connection, a known internal browser such as Google, Safari or Mozilla Firefox or Microsoft Edge in a version still fully maintained, and recent equipment (computer, tablet or mobile phone). It is the User’s responsibility to ensure awareness of possible technical developments in the computer and transmission means they use so that these remain adapted to the Website’s developments, technology and state of the art.

  1. Accessibility and availability of the Website

Access to the Website is free and open subject to access costs (e.g. Internet subscription) which remain at the User’s expense. The Website is in principle accessible 24 hours a day, 7 days a week, subject to maintenance operations, emergency measures or potential unavailability/disruption. Maintenance interventions causing unavailability of the Website are carried out as quickly as possible to minimize the inconvenience caused. Given the nature and complexity of mobile and Internet networks, and in particular their technical performance and response times for consulting, querying or transferring data, LERINS makes its best efforts, in accordance with the rules of the art, to ensure access to and use of the Website at all times. However, LERINS cannot guarantee absolute and permanent accessibility or availability of the Website.

Furthermore, LERINS reserves the right, without prior notice or compensation, to temporarily or permanently remove access to the Website or certain content, in particular to perform an update, maintenance operations, modifications or changes to its technical infrastructure, or in the event of non-compliance by the User with the GTU, particularly if the User compromises or attempts to compromise the security or integrity of the Website or LERINS’ computer systems, or those of its service providers and/or subcontractors, without this list being exhaustive.

LERINS cannot be held responsible for any unavailability of the Website, whether voluntary or not. Likewise, LERINS cannot be held responsible for damage caused to the operating system and functionalities of the equipment used due to interruptions or disruptions to the Website.

Any failure or unavailability of the Website must be notified to LERINS as soon as it becomes known by any User by sending an email to contact@lerins.com.

The Website is available in French and English.

It provides access to information concerning LERINS’ activities, its expertise, its team as well as certain legal content published by the firm’s lawyers.

The information and content accessible on or from the Website are provided for information purposes only, and are subject to change. Furthermore, the information and content are not exhaustive, do not substitute for legal consultation and are provided subject to modifications made since their online publication. LERINS reserves the right to supplement or modify, at any time, the Website and its content in particular according to changes in technologies, applicable regulations or at its discretion.

  1. Hypertext links

LERINS reserves the possibility of setting up hypertext links providing access to pages of websites other than those of the Website. LERINS disclaims all responsibility regarding the content of information provided on these sites through activation of hypertext links.

The establishment of any link to the Website requires obtaining LERINS’ express and prior authorization, it being specified that such authorization cannot be qualified as affiliation. In all cases, links to the Website must be removed at LERINS’ first request. LERINS disclaims all responsibility regarding the content of information provided on any site to which a redirect to the Website is made or through activation of hypertext links put online by the User.

  1. Security

LERINS makes its best efforts, in accordance with the rules of the art, to provide a quality Website and secure the Website given the complexity of mobile and Internet networks.

The User takes all appropriate measures to protect their own data and/or software from contamination by any viruses and malicious software.

The User is prohibited from performing or attempting to perform any operation or action aimed in particular at saturating a page, servers, generating denial of service attacks (DDOS), or any operation resulting in hindering or distorting the operation of the Website or which would impose a disproportionate load on the Website’s infrastructure.

The User undertakes to consider that all data, documents or information of which they became aware during such access to an unauthorized area are confidential data and undertakes, consequently, not to disclose or make them available to third parties.

Online Services are hosted on the servers of the company DEUX QUATRE. Information about the host is available in the legal notices accessible on the Website. The Website hosting is carried out on the territory of the European Union.

  1. User obligations

The User is responsible for their use of the Website. The User undertakes:

  • not to disrupt the proper functioning of the Website, and in particular not to introduce viruses, malicious code or any other technology harmful to the Website;
  • to use the Website fairly, in compliance with these GTU, applicable laws and regulations, in particular laws relating to the protection of personal data and intellectual and industrial property, and computing;
  • not to develop or use software, devices, robots or any other means or technology aimed at web scraping the Website or disrupting its use;
  • not to access or remain, fraudulently, in all or part of the Website and use an access method other than the interface made available by the Website, it being recalled that any fraudulent access or maintenance in the Website is criminally sanctioned as well as any obstruction or alteration of the operation of the Website or its infrastructure, or in the event of introduction, deletion or modification of data or information contained therein;
  • not to violate and circumvent security measures implemented in particular to protect the Website or the servers on which it is hosted.

Furthermore, the User is prohibited from any misuse of nominative information present on the Website, and from collecting in any way information about other Users, manually or in an automated manner, without their consent, in particular for the purpose of sending unsolicited prospecting or spam.

  1. Personal data

The processing of personal data implemented by LERINS as part of the use of the Website complies with applicable law, and in particular Law No. 78-17 of January 6, 1978 relating to data processing, files and freedoms, known as the “Data Processing and Freedoms” law in force, and Regulation (EU) 2016/679 on the protection of natural persons with regard to Personal Data of April 27, 2016.   1. Intellectual property

The Website as a whole, as well as each of the elements that compose it taken independently, including computer developments, tree structure, graphic charter, content including data, texts, fixed or animated images, logos, sounds, graphics, files, are the exclusive property of LERINS, or third parties who have granted it a license (the “Elements”).

The GTU do not entail any transfer or license of intellectual property rights on the Elements belonging to LERINS, or rights holders, for the benefit of the User.

The databases possibly appearing on the Website are protected by articles L.341-1 et seq. of the Intellectual Property Code. The extraction or reuse of qualitatively or quantitatively substantial content from these databases is prohibited.

Any reproduction, imitation or use, total or partial, of LERINS’ distinctive signs without express authorization and in violation of the prohibitions provided for in the Intellectual Property Code engages the responsibility of their author or is likely to constitute usurpation engaging the responsibility of its author on the basis of article 1240 of the Civil Code.

Any total or partial representation of the Website, of one of the Elements that compose it, including content, without express authorization is prohibited and would constitute infringement likely to engage the civil and criminal liability of the infringer, sanctioned by the Intellectual Property Code.

LERINS grants the User a simple right to use the Website for personal purposes, revocable, free, non-exclusive and worldwide under the conditions of these terms. The User may download documents that are made available to them free of charge on the Website, when specifically identified as being able to be downloaded. Their use and exploitation is subject to these GTU. Consequently, the User is prohibited from any action and any act likely to directly or indirectly infringe LERINS’ intellectual property rights or those of the lawyers practicing there.

  1. LERINS’ liability

LERINS cannot be held responsible:

  • for the quality of the Website, which is offered “as is”;
  • for any disruption in use or impossibility of accessing the Website;
  • for breaches of computer security, likely to generate damage to Users’ computer equipment and their data;
  • for infringement of Users’ rights by a third party or another User.

LERINS cannot be held responsible for direct or indirect damages that could result from the use of the Website or information appearing therein, whatever their nature, or from any error or omission. LERINS makes its best efforts to offer up-to-date information. All information brought to the attention of persons accessing the Website was selected on a specific date and reflects a reality at the time of its creation or update and not at the time of consultation of the Website. They may require an update that may not have occurred at the date of their consultation.

LERINS disclaims all responsibility concerning the appropriateness of decisions and the methods of their execution taken by Users solely based on information published on the Website.

  1. User liability and warranty

After notifying the User, LERINS may prohibit access to all or part of the Website to any User who does not comply with the GTU, without prejudice to any damages to which LERINS may be entitled.

The User guarantees LERINS against any action, claim, demand or opposition, whatever its form, object or nature, from any person invoking in particular an intellectual property right and/or an act of unfair competition and/or parasitic behavior and/or an invasion of privacy and/or any other breach of applicable legal and regulatory provisions, and which would be related, directly or indirectly, to their use of the Website.

The User will indemnify LERINS for all consequences resulting from the implementation of the aforementioned guarantee, and in particular costs of any nature, spent by LERINS to ensure its defense, including counsel or procedural costs, as well as all damages and interest, costs and sums due under article 700 of the Code of Civil Procedure possibly pronounced against it.

  1. Judicial requisitions

The User is informed that their identification/connection data may be communicated by LERINS to third parties under the conditions provided for by applicable law. In general, LERINS reserves the right to access, read, retain and disclose any information necessary to satisfy any judicial procedure or administrative request.

  1. General provisions

Invalidity. If one or more provisions hereof are held to be invalid or declared as such pursuant to a law, regulation or following a final decision of a competent court, the other provisions will retain their full force and scope.

Modification of the GTU. LERINS reserves the right to make to the GTU all modifications and improvements deemed useful or necessary, and in particular to take into account any technical, legislative, regulatory development or related to security or proper functioning of the Website. The GTU appearing as a link from the Website prevail over any previous version. The User can access previous and archived general conditions by requesting them at the address: contact@lerins.com. Any use of the Website by the User after modifications to the GTU entails acceptance by the latter of the new version of the GTU.

Applicable law and competent jurisdiction. These GTU are governed by French law. In the event of a dispute, the User first sends a complaint to LERINS, at the address contact@lerins.com in order to find an amicable solution. In the absence of an amicable solution materialized by the conclusion of a settlement agreement within 30 days of sending a complaint referring to this provision, any dispute concerning all contractual or extra-contractual relationships will be submitted to the competent court of the Paris judicial court.
